Terms of use
Version 6 · Published: 2026-10-07
1. Acceptance and scope
1.1 These terms govern the use of Mia by any real estate broker, agency or team ("you", the "Customer"). By creating an account, subscribing or using Mia, you accept these terms, the Refund and Dispute Policy and the Privacy Policy, which form an integral part of them.
1.2 Mia is intended for professionals and used for business purposes. If you act for an agency or team, you represent that you have the authority to bind it.
1.3 These terms apply to the Mia portal, the Mia extension and related services. The Mia extension is governed by these terms.
2. Description of the service
2.1 Mia automates administrative tasks related to putting a listing online: (1) document retrieval (school and municipal tax bills, property assessment roll, land registry documents, other documents such as an electricity bill); (2) creation of the transaction, contacts, brokerage contract and seller declaration; (3) direct entry in Centris; (4) deposit of documents into the Customer's GED, with a target of within 24 hours (GED plan).
2.2 Features depend on the plan selected (Départ, Pro, Équipe, with or without GED). We may evolve, add or remove features.
2.3 Mia is an assistance tool. It is not a broker, nor a legal, tax or professional-conduct advisor, and does not replace the Customer's professional judgment. Mia is not affiliated with Centris, the OACIQ or any registry or body whose systems it accesses.
3. Account and authorized users
3.1 Each account is personal. A subscription covers the number of users provided for by the selected plan. You may not share your Mia account credentials.
3.2 You must hold a valid licence in good standing, or act under the supervision of such a licence holder, and notify us promptly of any suspension or loss of licence.
3.3 You are responsible for all activity under your account and must promptly notify us of any unauthorized access.
4. Your obligations
4.1 Validation. You are entirely responsible for verifying and validating all information, documents and data entered, generated, retrieved or deposited by Mia before using, publishing or sending them to any third party. Section 6 and following of the Refund and Dispute Policy apply.
4.2 Authorizations and consents. You represent that you have the right to entrust to us the information and documents you submit to Mia, and that you have obtained from your clients and other persons concerned the consents required by law for Mia to process them on your behalf for the purposes of the service.
4.3 Professional compliance. You remain solely responsible for complying with your legal and professional obligations (including toward the OACIQ, your clients and counterparties), including the retention of your files.
4.4 Third-party terms. You are responsible for ensuring that your use of Mia with respect to Centris and any other third-party service complies with the terms of use of those services and your agreement with them.
5. Access to Centris and your systems
5.1 Base plan (no GED). You log in to your Centris account yourself. Mia does not keep your Centris credentials.
5.2 GED plan. You grant Mia delegated access to your Centris account, through the official delegated-access mechanism offered by Centris, so that Mia can act on your behalf. You authorize us to use this access solely to provide the service and to act in Centris on your behalf for that sole purpose. We apply reasonable security measures to protect the authorization data associated with this access. You may revoke the delegated access at any time, using the tools provided by Centris or by writing to us.
5.3 You act at your sole responsibility for any action taken in Centris on your behalf, and you will promptly notify us if you suspect unauthorized use of your access.
6. Acceptable use
You may not: use Mia for illegal purposes or in breach of professional conduct rules; circumvent the service's security; reverse engineer it; resell or sublicense access without authorization; upload malicious content or content you have no right to entrust to us; overload the service or extract data from it at scale; or allow an unauthorized person to use your account.
7. Artificial intelligence and third-party services
7.1 Third-party services. Websites, registries, data providers, cloud services and third-party tools (Centris, public registries, municipalities, school boards, GED systems, payment processor) remain subject to their own terms and availability. Mia does not control their content or decisions. Their unavailability or modification may affect Mia, without entitling you to a refund or engaging our liability.
7.2 Artificial intelligence. Some Mia features use artificial intelligence. AI responses may be inaccurate or incomplete. No professional or legal decision should be made without human verification. The information needed for an AI feature may be sent to the provider that runs it (currently Google and OpenAI), as described in the Privacy Policy. The inaccuracy or incompleteness of an AI-generated result does not entitle you to any refund or credit, and section 4.1 applies.
8. Intellectual property
8.1 Mia, its code, interface, trademarks and documentation belong to us. We grant you a limited, non-exclusive, non-transferable, revocable right of use, for the duration of your subscription and for your internal business needs.
8.2 You keep all rights in your data and documents (the "Customer Content"). You grant us a limited licence to host, process and transmit them solely to the extent necessary to provide the service, in accordance with the Privacy Policy.
8.3 We may use aggregated, de-identified data to improve and measure the service, in a manner that does not identify you or your clients.
9. Personal information
The processing of personal information is described in the Privacy Policy. For information about your clients and counterparties that you entrust to us, we act as a service provider on your behalf, and you remain the organization responsible for that information in respect of them.
10. Prices, payment and refunds
Prices, billing, cancellation, the absence of refunds and invoice disputes are governed by the Refund and Dispute Policy.
11. Availability and no warranty
11.1 Mia is provided "as is" and "as available", to the extent permitted by law. We do not warrant that the service will be uninterrupted, error-free or fit for a particular purpose, nor the accuracy or completeness of the information processed.
11.2 We may interrupt the service for maintenance, updates or security reasons.
12. Limitation of liability
12.1 To the extent permitted by law, and subject to section 12.4, we are not liable for indirect, incidental, special or consequential damages (loss of a sale, commission, clients, profits, data or reputation, disciplinary action, etc.).
12.2 To the extent permitted by law, and subject to section 12.4, our total liability to you, for any cause, is limited to the amounts you paid to Mia during the twelve (12) months preceding the event giving rise to the claim.
12.3 The liability exclusions in section 6 of the Refund and Dispute Policy, relating to the Customer's validation of information, also apply to these terms.
12.4 Nothing herein excludes or limits a liability that cannot be excluded or limited by law, including in cases of intentional fault or gross fault, or bodily or moral injury.
13. Indemnification
You agree to indemnify and hold us harmless from any third-party claim (including from your clients) and the reasonable costs arising from it, to the extent they result from your Customer Content, your breach of these terms or of the law, or your failure to validate information processed by Mia.
14. Term, suspension and termination
14.1 These terms apply as long as you have an account. You may cancel your subscription in accordance with the Refund and Dispute Policy.
14.2 We may suspend or terminate your access, with notice where reasonable, in the event of non-payment, breach of these terms, fraudulent use or risk to the security of the service or third parties.
14.3 After your subscription ends, you have thirty (30) days to retrieve your data. After that period, we delete or anonymize your Customer Content and end the delegated access to your Centris account (which you may also revoke yourself in Centris), except what the law requires us to keep. Documents already deposited in your GED belong to you and are not affected.
14.4 Provisions that by their nature must survive the end of these terms (intellectual property, limitation of liability, indemnification, disputes) continue to apply.
15. Confidentiality between the parties
Each party protects the other's confidential information to which it has access and uses it only to perform these terms, except where disclosure is required by law.
16. Changes
We may amend these terms with at least 30 days' notice, posted on our website or sent by email. Continued use of Mia after the change takes effect constitutes acceptance. If you reject it, you may cancel before it takes effect.
17. Governing law and disputes
These terms are governed by the laws of Quebec and the federal laws of Canada applicable therein. Any dispute follows the procedure in section 8 of the Refund and Dispute Policy: written notice, good-faith negotiation for at least 30 days, then the competent courts of Quebec, in the judicial district of Terrebonne.
18. General provisions
18.1 You may not assign these terms without our written consent; we may assign them in connection with a reorganization, merger or sale of the business.
18.2 If a provision is held invalid, the others remain in force. Failure to exercise a right is not a waiver.
18.3 We are not liable for a delay or failure caused by an event beyond our reasonable control (third-party outage, cyberattack, disaster, government action, etc.).
18.4 These terms, together with the Refund and Dispute Policy and the Privacy Policy, constitute the entire agreement between us and supersede any prior agreement on the same subject.
19. Language
The parties have required that these terms be drawn up in French and English. In case of interpretive discrepancy, the French version prevails.
